These Terms of Use (the “Terms”) govern your access to and use of Mainstreet (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Mainstreet is

Mainstreet is a software product that helps prospective small-business buyers organize and analyze seller-provided information and documents they upload. The Service provides software, automated analysis, estimates, summaries, and informational guidance only.

Mainstreet does not provide financial, investment, legal, accounting, tax, valuation, lending, brokerage, or other professional advice. Mainstreet is not a broker, investment adviser, CPA or accounting firm, law firm, lender, fiduciary, or business valuation provider, and no such relationship is created by your use of the Service.

2. Informational guidance, not advice

Everything the Service produces — including figures, estimates, summaries, analyses, and recommendations — is informational only and intended to help you investigate a potential acquisition. Outputs may contain errors, omissions, or incorrect interpretations and should not be relied upon as the sole basis for purchasing, financing, valuing, or otherwise transacting in a business.

Recommendations or status language such as “Proceed with conditions,” “Keep investigating,” or similar wording is informational guidance to help you decide what to look at next. It is not a recommendation, endorsement, or guarantee that you should or should not purchase, finance, or value any business.

3. Your responsibilities and due diligence

You are responsible for independently verifying any information that matters to your decision and for conducting your own due diligence. You should consult appropriate professional advisers — such as attorneys, accountants, tax professionals, and qualified valuation or lending professionals — before making decisions.

You retain full responsibility for your decisions and transactions. Any action you take based on the Service is taken at your own risk.

4. Seller claims and uploaded documents

Information you analyze often originates from sellers or from documents you upload. Seller claims and uploaded documents may be incomplete, inaccurate, or misleading. Mainstreet extracts and organizes what it is given; it does not independently investigate, audit, authenticate, or guarantee the accuracy, completeness, or authenticity of any seller claim or uploaded document.

You represent that you have the right to upload and process any information and documents you submit to the Service.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of these Terms;
  • upload content you do not have the right to submit, or that infringes the rights of others;
  • attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to the Service; or
  • misrepresent the Service’s output as professional advice to any third party.

6. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate account information and keep it current.

7. Free and paid access

Mainstreet may offer a limited number of free Deal Checks. Free-use limits — including the current limit of three Deal Checks — may be applied per user, per browser or device, or through other reasonable anti-abuse measures.

Additional Deal Checks and/or access to deeper Deal Workspace analysis may require payment. The applicable price, scope of access, and any time period will be shown before payment.

Paid access is for the specific deal or workspace purchased and is not a subscription unless Mainstreet clearly says otherwise at checkout.

Except where required by law or expressly stated at checkout, payments are non-refundable once paid access or analysis has been made available.

8. Intellectual property

The Service, including its software, design, and content (excluding information and documents you provide), is owned by Mainstreet and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the information and documents you submit, and you grant Mainstreet a license to process them solely to provide the Service to you.

9. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Mainstreet does not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate, complete, or reliable.

10. Limitation of liability

To the maximum extent permitted by law, Mainstreet and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost opportunities, or losses arising from your reliance on the Service or from any business you do or do not acquire, finance, or value. To the maximum extent permitted by law, Mainstreet’s total liability for any claim relating to the Service will not exceed the amount you paid Mainstreet for the Service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Mainstreet and its owners, employees, and suppliers from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your transactions, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be reflected here, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Electronic communications

By using the Service, you agree to receive service-related notices from us electronically, including by email or through the Service. Electronic notices have the same legal effect as if they were provided in writing.

15. Miscellaneous

These Terms are the entire agreement between you and Mainstreet regarding the Service and supersede any prior agreements on that subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

You may not assign or transfer these Terms without our prior written consent. Mainstreet may assign these Terms in connection with a merger, acquisition, sale of assets, or other transfer of the Service.
